Description of Coaching: Coaching is partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking and creative process that inspires the client to maximize personal and professional potential. It is designed to facilitate the creation/development of personal, professional or business goals and to develop and carry out a strategy/plan for achieving those goals.
You are agreeing to be coached by me for the duration of the programme we both agree and signing the Coaching Session agreement, which I will provide before we begin working together.
Once you have signed the Coaching Session agreement, completed the pre call questionnaire and paid, our coaching will begin. If working under a payment plan, the coaching will take place once each payment has been made for the agreed date.
Agreeing and sticking to the mutually convenient 90 minute video calls must be made a priority and start on time. In cases of illness or emergencies I will be flexible and reschedule at a date and time convenient to us both. In the event of either you as the client or myself as the coach having an IT problem beyond our control, we will reschedule our video call for a mutually convenient date and time.
The Client acknowledges that coaching is a comprehensive process that may involve different areas of his or her life, including work, finances, health, relationships, education and recreation. The Client agrees that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively the Client’s responsibility.
My coaching does not treat mental health issues; and if you are currently under the care of any health care practitioner, please continue to use their services.
You are solely responsible for creating and implementing your own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. The Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.
I expect great things to result from our sessions however, I cannot guarantee that all clients will achieve the same results.
You are advised to seek your own accountant, lawyer or financial adviser regarding your own taxes and income.
Once you have received my invoice, you will pay in full and all funds must be in my bank within 3 working days of the date on the invoice.
Funds can be transferred by BACS transfer or Electronic Invoice.This will be made clear on the invoice I will email you.
If you are on a payment plan and fail to make payment, I will give you 3 working days grace to make payment. After that I will suspend my service until payment has been made in full. If this happens more than once I will be adding interest at 5% daily.
Key commercial Terms offered to customers
When buying an item, you agree that: (i) you are responsible for reading the full item listing before making a commitment to buy it: (ii) you enter into a legally binding contract to purchase an item when you commit to buy an item and you complete the check-out payment process.
The prices I charge for using my services / for my products are listed on the website.
I reserve the right to change my prices for products displayed at any time, and to correct pricing errors that may inadvertently occur.
“The fee for the services and any other charges you may incur in connection with your use of the service, such as taxes and possible transaction fees are your responsibility.
Refunds and Termination
There will be no refund once the contract has been signed. If you chose to terminate the service this is your decision but there will be no refund.
Personal data that you supply to me will be kept confidential and safe and not shared with anyone else. My bank however, will have details of your payment; and my newsletter will be sent to you but your email address will not be shared with anyone else.
I will not discuss or share any information discussed during our Coaching Sessions.
However if I feel that you or anyone is at risk of harm I will discuss with you who we need to inform.
Ownership of intellectual property, copyrights and logos
You must not copy or share or record any aspect of my coaching,website or materials given to you during coaching without my permission. Nor adapt or replicate any of my materials and present them or sell as yours.
The Service and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of Louise Baker. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.
Website owner, the offering, and binding of Terms
This website is owned and operated by Louise Baker. These Terms set forth the terms and conditions under which you may use my website and services as offered by me This website offers Coaching Services. By accessing or using the website of my service, you approve that you have read, understood, and agree to be bound by these Terms.
Who can use this website
In order to use my website and/or receive my services, you must be at least 18 years of age, or of the legal age of majority in your jurisdiction, and possess the legal authority, right and freedom to enter into these Terms as a binding agreement. You are not allowed to use this website and/or receive services if doing so is prohibited in your country or under any law or regulation applicable to you.
You agree to indemnify and hold Louise Baker harmless from any demands, loss, liability, claims or expenses (including legal fees), made against them by any third party due to, or arising out of, or in connection with your use of the website or any of the services offered on the website.
Retention of right to change offering
I may, without prior notice, change the services; stop providing the services or any features of the services I offer; or create limits for the services. I may permanently or temporarily terminate or suspend access to the services without notice and liability for any reason, or for no reason.
Right to suspend or cancel user account
I may permanently or temporarily terminate or suspend your access to the service without notice and liability for any reason, including if in my sole determination you violate any provision of these Terms or any applicable law or regulations. You may discontinue use of my services at any time (please see Refunds and Termination).
Notwithstanding anything to the contrary in the foregoing, with respect to automatically-renewed subscriptions to paid services, such subscriptions will be discontinued only upon the expiration of the respective period for which you have already made payment.
Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Louise Baker, be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service.
To the maximum extent permitted by applicable law, Louise Baker assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
Right to change and modify Terms
I reserve the right to modify these terms from time to time at my sole discretion. Therefore, you should review these page periodically. When I change the Terms in a material manner, I will notify you that material changes have been made to the Terms.
Your continued use of the Website or my service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the website or the service.
Promotional emails and content
You agree to receive from time to time promotional messages and materials from me by email and mail. If you don’t want to receive such promotional materials or notices – please just notify me at any time.
Preference of law and dispute resolution
These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the services, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of United Kingdom, without respect to its conflict of laws principles. Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in United Kingdom. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.
